Servo and Synclore Join Forces
Leading Android Content Discovery and Mobile Data Sync Players Merge to Form Global Provider of Mobile Content Discovery Solutions

San Francisco, Calif. and Tokyo, Japan, July 15, 2010 - Servo Software, Inc. (www.getservo.com) of San Mateo, California, and Synclore Corporation (www.synclore.com) of Tokyo, Japan, today entered into an agreement to combine their operations to form a global provider of Mobile Content Discovery Solutions. The transaction follows an initial investment by Synclore in Servo in December 2009 and is expected to close in Q3 of this year.

Servo is the market leader in commercial Android on-device search and Synclore is the market leader for Mobile Data Sync in Japan. Together, they maintain strong business relationships with top 10 operators, including NTT DOCOMO, China Mobile, and T-Mobile as well as with major phone manufacturers, including HTC, NEC, Lenovo, and Huawei. In aggregate, they provide solutions to 20 million paying subscribers that bring in over $250M in annual industry revenues.

Servo and Synclore have been collaborating since December 2009 to allow mobile users to search, sync and share any content on their handsets, such as apps and music, contacts and calendar, with the people they choose, and lets them discover content that their friends are using on their phones right now.

Masanari Arai, co-founder and CEO of Synclore, will be the group's CEO, and Christof Wittig, founder, president and CEO of Servo, will continue in his role overseeing all business outside of Japan. Naoshi Suzuki, co-founder and president of Synclore, will be group president, primarily overseeing the Japanese operation. Masaru Ohta will be the group's CFO. There will be no additional directors on the board other than the aforementioned executives.

Servo's VP Products, Miko Matsumura, will continue to run product portfolio, while Anat Gafni, Servo's VP Engineering, will continue to serve in that role after closing. The group will have a total of 60 staff members with headquarters in Tokyo and offices in Silicon Valley, China, Germany, and Spain.

"This creates a deeper solution portfolio in content discovery and more revenue opportunities with operator and OEM partners in the fast growing smartphone segment."

After the closing of the merger, the majority of outstanding shares of the combined company will be held by executive management, while outside investors will hold approximately 25% of the outstanding shares. Outside investors include Asset Management of Palo Alto, California, Jafco, SBIC, Neostera, and Mitsubishi UFJ of Tokyo, Japan.
